Reshelle Jewels Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (“Affiliate Terms”) govern participation in the Reshelle Jewels Affiliate Program (“Affiliate Program”) operated by Reshelle Jewels (“Reshelle”, “we”, “us”, or “our”). An individual participating in the Affiliate Program is referred to as an “Affiliate”, “you”, or “your.” By applying for, accepting, activating, or participating in the Affiliate Program, you acknowledge that you have read, understood, and agreed to these Affiliate Terms.

1. THE AFFILIATE PROGRAM The Reshelle Jewels Affiliate Program allows approved Affiliates to promote Reshelle Jewels products using an affiliate link, referral code, or another tracking method provided by Reshelle or its authorized affiliate-platform provider. Subject to these Affiliate Terms, an Affiliate may receive a commission on qualifying purchases attributed to the Affiliate. Participation in the Affiliate Program is subject to Reshelle's approval
   
   
2. ELIGIBILITY AND APPROVAL Individuals may apply to participate in the Affiliate Program through a method provided by Reshelle. Reshelle may review an application before approving an Affiliate. Approval is not guaranteed. Reshelle may consider factors including: social-media presence; content quality; audience relevance; engagement; promotional methods; previous collaboration history; compliance with these Affiliate Terms; and other factors relevant to the Reshelle brand. Reshelle may reject an application without being required to provide a reason, subject to applicable law.
   
   
3. AFFILIATE ACCOUNT Each approved Affiliate may be provided with an affiliate account, referral link, discount code, or other tracking mechanism. The Affiliate is responsible for providing accurate information required to create and maintain the account. The Affiliate must not: create false accounts; impersonate another person; provide knowingly inaccurate information; or create multiple accounts for the purpose of obtaining additional commissions or benefits. Unless Reshelle expressly permits otherwise, an Affiliate may maintain only one affiliate account.
   
   
4. INDIVIDUAL AFFILIATE TERMS The commission rate and other commercial terms applicable to an Affiliate will be communicated separately by Reshelle. Different Affiliates, campaigns, products, promotional periods or other arrangements may have different commission rates or terms. The applicable commercial terms may include: commission rate; eligible products; promotional period; customer discount; commission calculation; payout requirements; payment method; and other campaign-specific conditions. The commercial terms communicated to an Affiliate for a particular arrangement will apply only to that arrangement and do not automatically apply to future campaigns or collaborations.
   
   
5. AFFILIATE LINKS AND CODES Reshelle may provide an Affiliate with: a unique affiliate link; a unique discount/referral code; both; or another approved attribution mechanism. The Affiliate must use the tracking mechanism provided by Reshelle. The Affiliate must not modify, manipulate, obscure or otherwise interfere with the tracking mechanism in a manner that could affect attribution.
   
   
6. QUALIFYING PURCHASES A commission is payable only on a Qualifying Purchase. A Qualifying Purchase generally means a genuine customer purchase of eligible Reshelle products that: is successfully attributed to the Affiliate through Reshelle's approved tracking system; is completed and paid for; is not subsequently cancelled, refunded or returned; is not fraudulent or otherwise invalid; and complies with these Affiliate Terms and any applicable affiliate-program rules. Reshelle may determine whether an order qualifies for commission based on the information available through its affiliate tracking system and applicable order records.
   
   
7.  COMMISSION CALCULATION The applicable commission rate will be the rate communicated to the Affiliate for the relevant arrangement. Unless otherwise stated in the applicable Affiliate Offer, commission will be calculated only on the eligible product amount actually paid by the customer, after applicable discounts and excluding amounts that Reshelle designates as non-commissionable. Non-commissionable amounts may include: shipping or delivery charges; taxes; refunded amounts; cancelled items; returned items; other excluded charges or amounts. The applicable calculation method may be updated by Reshelle from time to time. 
   
   
8. CUSTOMER DISCOUNTS Where Reshelle provides an Affiliate with a customer discount code or offer, the applicable discount will be communicated separately. The Affiliate must not: advertise a discount that Reshelle has not approved; alter the terms of a Reshelle promotion; represent an expired promotion as active; or combine promotions in a manner not authorized by Reshelle. Reshelle may change, suspend or withdraw promotional offers at any time.
   
   
9. ATTRIBUTION Affiliate attribution will be determined using Reshelle's designated affiliate tracking system. Reshelle does not guarantee that every purchase influenced by an Affiliate will be attributed to that Affiliate. A commission may not be recorded where: the customer does not use the Affiliate's link or code; the tracking mechanism is not used correctly; tracking information is unavailable; the customer purchases through another attribution method; the order is not eligible; or technical limitations prevent attribution. Reshelle's affiliate platform records will generally be used to determine attribution. 
10. SELF-REFERRALS Affiliates may not use their own affiliate link or referral code to generate commissions on their own purchases unless Reshelle expressly permits this in writing. An Affiliate must not intentionally arrange transactions for the primary purpose of generating a commission for themselves. Reshelle may cancel commissions associated with prohibited self-referrals. 
11. FRAUDULENT OR MANIPULATIVE ACTIVITY Affiliates must not engage in activities designed to artificially generate commissions, clicks, traffic or orders. Prohibited activity includes, but is not limited to: fake orders; fraudulent transactions; automated or bot-generated traffic; fake accounts; misleading clicks; click manipulation; cookie manipulation; attribution manipulation; purchasing through another person's account for the purpose of generating a commission; encouraging customers to place unnecessary or fraudulent orders; or any other activity intended to improperly obtain affiliate benefits. Reshelle may investigate suspicious transactions and suspend commissions while an investigation is conducted. 
12. CUSTOMER PRIVACY Affiliates must not request, collect, store or misuse customers' personal information for purposes unrelated to the Affiliate's legitimate promotional activities. Affiliates must comply with applicable privacy and data-protection laws. Affiliates must not represent that they have access to Reshelle's customer database or customer information. 
13. PROHIBITED PROMOTIONAL METHODS Affiliates must promote Reshelle in a lawful, honest and non-deceptive manner. Unless expressly authorized by Reshelle, Affiliates must not: send unsolicited bulk messages or spam; use misleading advertisements; make false claims about Reshelle products; impersonate Reshelle; create websites or social-media accounts that falsely appear to be official Reshelle properties; use deceptive redirects; use malicious or misleading software; manipulate search results; engage in fraudulent traffic generation; or use any promotional method that violates applicable law or platform rules.
14. PAID ADVERTISING Affiliates may not use paid advertising to promote Reshelle products using Reshelle's trademarks, brand name, product names or other protected brand assets unless Reshelle has expressly authorized such activity. This includes, where applicable: Google Ads; Meta Ads; Instagram Ads; YouTube Ads; other paid search advertising; and other paid digital advertising platforms. Where Reshelle provides specific written advertising instructions, the Affiliate must follow those instructions.
15. TRADEMARKS AND BRAND ASSETS Reshelle's name, logo, trademarks, product images and other brand assets remain the property of Reshelle or their respective rights holders. Affiliates may use approved Reshelle brand assets solely for legitimate promotion of Reshelle products through the Affiliate Program. Affiliates must not: register confusingly similar domains; create misleading social-media handles; claim to be an official Reshelle representative; modify Reshelle trademarks in a misleading manner; or use Reshelle intellectual property for unrelated purposes without prior written permission. 
16. SOCIAL-MEDIA PROMOTION Affiliates may promote Reshelle through their social-media accounts provided their content: complies with platform rules; accurately represents Reshelle products; does not contain misleading claims; uses approved promotional information; and includes appropriate commercial/affiliate disclosures where required. The Affiliate is responsible for complying with the rules applicable to their own social-media account. 
17. DISCLOSURE OF AFFILIATE RELATIONSHIP Affiliates are responsible for making appropriate disclosures when promoting Reshelle products through affiliate links, codes or other commercial arrangements. Where required, the Affiliate should clearly communicate that they may receive a commission or other benefit from qualifying purchases. The Affiliate must comply with applicable advertising and influencer-marketing requirements and the rules of the relevant platform.
18. RETURNS, REFUNDS AND CANCELLATIONS Commissions associated with orders that are subsequently: cancelled; returned; refunded; reversed; unpaid; or otherwise determined to be invalid may be cancelled or reversed. If a commission has already been paid and the underlying transaction is subsequently refunded or otherwise becomes ineligible, Reshelle may adjust future commissions or recover the applicable amount where legally permitted.
19. COMMISSION APPROVAL Commissions may remain pending for a period determined by Reshelle or its affiliate-platform provider to allow for: order verification; cancellation review; return periods; refund processing; fraud checks; and other necessary validation. Only approved commissions become payable.
20. PAYOUTS Approved affiliate commissions will be paid according to the payout schedule and payment requirements communicated by Reshelle or its affiliate-platform provider. Reshelle may require the Affiliate to provide accurate payment information before a payout can be processed. Available payment methods may change from time to time. Reshelle may delay a payout where: required payment information is incomplete; the Affiliate's account is under review; commissions are disputed; transactions require verification; or payment is otherwise restricted by applicable law.
21. MINIMUM PAYOUT REQUIREMENTS Where applicable, Reshelle may establish a minimum payout threshold. Any applicable threshold will be communicated through the Affiliate Program or affiliate platform. Reshelle may change the threshold for future commissions.
22. TAXES The Affiliate is responsible for complying with applicable tax laws relating to commissions or other benefits received through the Affiliate Program. Where Reshelle is required by law to deduct or withhold taxes, Reshelle may do so.
23. NO GUARANTEE OF COMMISSIONS Participation in the Affiliate Program does not guarantee that an Affiliate will: generate sales; receive commissions; receive a minimum amount of commission; receive any particular number of customers; or receive future promotional opportunities. Affiliate earnings depend on actual qualifying customer transactions and the applicable commission terms.
24. AFFILIATE CONTENT AND REPRESENTATIONS Affiliates must ensure that promotional content they publish: is truthful; is not misleading; accurately describes Reshelle products; does not make unauthorized claims; complies with applicable laws; and complies with applicable social-media policies. Affiliates must not claim that Reshelle has endorsed a statement, claim or representation unless Reshelle has actually approved it.
25. COUPON AND PROMOTIONAL WEBSITES Affiliates must not represent themselves as an official Reshelle coupon, discount or promotional website unless expressly authorized by Reshelle. The use of Reshelle discount codes on unauthorized coupon websites, deal aggregators or similar platforms may be restricted by Reshelle. Reshelle may determine which promotional channels are permitted for each Affiliate or campaign.
26. COMMISSION DISPUTES If an Affiliate believes that an eligible transaction has not been correctly attributed or commissioned, the Affiliate may contact Reshelle within a reasonable period after the relevant transaction or commission statement. The Affiliate should provide relevant information, such as: order details; affiliate link/code used; transaction date; and other information reasonably required to investigate the issue. Reshelle will review the matter using available order and affiliate-tracking records.
27. AFFILIATE ACCOUNT SUSPENSION Reshelle may temporarily suspend an Affiliate account where it reasonably believes that: fraudulent activity may have occurred; commissions require investigation; these Affiliate Terms may have been breached; or the account presents a security, legal or reputational risk. During suspension, Reshelle may temporarily hold commissions pending investigation.
28. TERMINATION Either Reshelle or the Affiliate may terminate participation in the Affiliate Program. Reshelle may terminate or suspend an Affiliate's participation where the Affiliate: breaches these Affiliate Terms; engages in fraudulent or abusive activity; violates applicable law; misuses Reshelle's brand; engages in prohibited advertising; generates invalid transactions; repeatedly violates campaign requirements; or engages in conduct that creates significant legal or reputational risk for Reshelle. 
29. EFFECT OF TERMINATION Following termination: the Affiliate must stop representing themselves as an active Reshelle Affiliate; the Affiliate must stop using affiliate links and codes where directed by Reshelle; the Affiliate must stop using Reshelle promotional materials where required; future commissions will not accrue after the effective termination date unless otherwise stated; and previously earned qualifying commissions may remain payable subject to verification, refunds, cancellations and other applicable adjustments. Termination does not remove obligations that arose before termination.
30. CHANGES TO COMMISSION RATES AND PROGRAM TERMS Reshelle may change: commission rates; promotional offers; eligible products; payout requirements; attribution rules; program structure; promotional restrictions; and other Affiliate Program terms from time to time. Changes to commercial terms will generally apply to future transactions or as otherwise communicated by Reshelle. A commission rate applicable to a previous transaction will not be retrospectively changed solely because Reshelle changes its standard rate for future transactions, except where adjustment is required due to cancellation, refund, fraud, error or other applicable circumstances.
31. NO EMPLOYMENT OR AGENCY RELATIONSHIP Participation in the Affiliate Program does not create an employment, agency, partnership, joint venture, franchise or other formal business relationship between Reshelle and the Affiliate. The Affiliate acts independently and has no authority to enter into agreements or make commitments on behalf of Reshelle.
32. CONFIDENTIAL INFORMATION Affiliates may receive confidential or non-public information from Reshelle. Affiliates must not disclose or misuse confidential information relating to: unpublished products; campaigns; commission arrangements; internal business information; customer information; marketing plans; or other information reasonably understood to be confidential.
33. INTELLECTUAL PROPERTY All Reshelle trademarks, logos, product names, photographs, website content and other intellectual property remain the property of Reshelle or the applicable rights holder. Participation in the Affiliate Program does not transfer ownership of any Reshelle intellectual property to the Affiliate.
34. DISCLAIMER OF RESULTS Reshelle does not guarantee any specific level of traffic, sales, commission, audience growth or other result from participation in the Affiliate Program. Past performance of another Affiliate does not guarantee future performance.
35. LIMITATION OF LIABILITY To the extent permitted by applicable law, Reshelle will not be liable for indirect, incidental, special or consequential losses arising from participation in the Affiliate Program. Nothing in these Affiliate Terms is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.
36. EVENTS BEYOND REASONABLE CONTROL Reshelle will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including: technical failures; affiliate-platform outages; payment-system failures; social-media platform changes; internet disruptions; courier or operational disruptions; government actions; natural disasters; or other unforeseen events.
37. CHANGES TO THESE TERMS Reshelle may update these Affiliate Terms from time to time. The updated version will be published on the Reshelle website with a revised “Last Updated” date. Changes will generally apply to future activity and transactions as communicated by Reshelle.
38. ACCEPTANCE OF TERMS By applying for, accepting, activating or participating in the Reshelle Jewels Affiliate Program after being provided access to these Affiliate Terms, the Affiliate acknowledges that they: have read these Affiliate Terms; understand them; agree to comply with them; and agree to the applicable individual Affiliate Offer or commercial terms communicated by Reshelle. Where required by Reshelle, the Affiliate may be asked to provide explicit written or electronic confirmation of acceptance.
39. ENTIRE AGREEMENT These Affiliate Terms, together with the applicable individual Affiliate Offer, affiliate-platform rules and any other written terms expressly incorporated by Reshelle, constitute the agreement governing participation in the Affiliate Program. If an individual Affiliate Offer expressly provides a different commercial term for a particular campaign or arrangement, that specific term will prevail for that arrangement to the extent of the difference.
40. GOVERNING LAW AND JURISDICTION These Affiliate Terms shall be governed by and interpreted in accordance with the laws of India. Subject to applicable law, disputes arising in connection with these Affiliate Terms or the Affiliate Program shall be subject to the jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
