Reshelle Jewels Creator Collaboration Terms & Conditions

These Creator Collaboration Terms & Conditions (“Creator Terms”) govern collaborations between Reshelle Jewels (“Reshelle”, “we”, “us”, or “our”) and approved content creators or influencers (“Creator”, “you”, or “your”). By accepting a Reshelle Jewels Creator Collaboration Offer, confirming your participation, or otherwise proceeding with a collaboration after being provided access to these Creator Terms, you acknowledge that you have read, understood, and agreed to these Creator Terms.

1. CREATOR COLLABORATION PROGRAM - Reshelle Jewels may collaborate with selected content creators and influencers to promote and showcase Reshelle Jewels products through original social-media content. A Creator Collaboration may involve: Reshelle products being provided to the Creator; content creation and publication; social-media posts, Reels, Stories, photographs or other agreed content; Instagram collaboration posts; product features or demonstrations; affiliate participation; other promotional activities agreed between Reshelle and the Creator. The specific commercial and operational terms of each collaboration will be communicated separately in the individual Creator Collaboration Offer
   
   
2. APPLICATION DOES NOT GUARANTEE COLLABORATION - Submitting an application to the Reshelle Creator Program does not guarantee: acceptance into the program; receipt of products; a barter collaboration; an affiliate opportunity; a paid collaboration; any particular product value; any particular number of collaborations; or any future collaboration. Reshelle reserves the right to review applications and determine whether a Creator is suitable for a particular collaboration.
   
   
3.  INDIVIDUAL COLLABORATION OFFER  - Each approved Creator will receive an individual collaboration offer containing the terms applicable to that particular collaboration. Depending on the collaboration, the offer may specify: products being provided; applicable product value; content deliverables; number and type of posts; social-media platforms; publishing deadline; affiliate terms, where applicable; product-selection requirements; shipping arrangements; campaign-specific instructions; and other requirements. The individual Collaboration Offer forms part of the agreement between Reshelle and the Creator for that collaboration. The terms contained in an individual Collaboration Offer apply only to that particular collaboration and do not automatically apply to future collaborations.
   
   
4. ACCEPTANCE OF A COLLABORATION - A Creator may be required to expressly confirm acceptance of a Collaboration Offer before Reshelle proceeds with the collaboration. Acceptance may be provided through: email confirmation; WhatsApp confirmation; an online acceptance mechanism; electronic confirmation; or another method communicated by Reshelle. Once the Creator accepts the applicable Collaboration Offer, the Creator agrees to fulfil the obligations specified in that offer together with these Creator Terms.
   
   
5. PRODUCTS PROVIDED FOR COLLABORATION - Where Reshelle provides products as part of a collaboration, the products are provided specifically in connection with the agreed collaboration. The products are provided subject to the terms of the applicable Collaboration Offer. Product availability may vary. Reshelle may substitute a selected product with another product of reasonably comparable value where the originally selected product is unavailable.
   
   
6. PRODUCT SELECTION - Where the Creator is permitted to select products, Reshelle may provide a product-selection process or list from which the Creator may make their selection. Reshelle reserves the right to approve product selections based on: availability; stock levels; campaign requirements; suitability; product category; or other reasonable business considerations. A product selection is not considered final until confirmed by Reshelle. 
   
   
7. PRODUCT DELIVERY - Products will be shipped using the delivery information provided by the Creator. The Creator is responsible for providing accurate: name; delivery address; phone number; and other information reasonably required for delivery. Reshelle will not be responsible for delivery problems caused by inaccurate or incomplete information provided by the Creator. Where tracking information is available, Reshelle may provide the Creator with shipment or tracking details.
8. CREATOR CONTENT OBLIGATIONS - Where content creation is part of a collaboration, the Creator agrees to create and publish the content specified in the individual Collaboration Offer. The required content may vary between collaborations. The Creator agrees to: feature the agreed Reshelle products; follow the agreed campaign requirements; include required Reshelle tags or mentions; use Instagram's collaboration feature where specifically required; include an affiliate link or code where applicable; publish the content on the agreed platform(s); and publish the content within the agreed timeframe. The Creator retains reasonable creative freedom over the presentation and style of the content unless specific creative instructions have been provided by Reshelle.
9. ORIGINAL CONTENT All collaboration content must be created by the Creator or otherwise lawfully available for the Creator to use. The Creator must not knowingly submit or publish content that: infringes another person's copyright; infringes trademarks; violates privacy or publicity rights; contains unauthorized third-party material; or violates applicable laws or platform policies. The Creator is responsible for obtaining any permissions required for music, images, people, locations or other third-party material included in the content.
10. CONTENT QUALITY AND AUTHENTICITY Reshelle values authentic creator content and does not require every Creator to produce identical content. However, collaboration content must be reasonably consistent with: the Creator's represented content style; the agreed collaboration; Reshelle's reasonable brand requirements; and the applicable social-media platform's rules. The Creator must not knowingly make false, misleading or materially inaccurate claims about Reshelle or its products.
11. CONTENT DEADLINES The applicable content deadline will be specified in the individual Collaboration Offer. The Creator agrees to publish the required content within that agreed timeframe. If the Creator anticipates a genuine delay, the Creator should contact Reshelle before the applicable deadline. Any extension is subject to Reshelle's approval.
12. FAILURE TO COMPLETE A COLLABORATION If a Creator accepts a collaboration, receives products and fails to fulfil the agreed content obligations without an acceptable explanation or approved extension, Reshelle may take appropriate action. This may include: marking the collaboration as incomplete; making the Creator ineligible for future barter collaborations; making the Creator ineligible for future product-based collaborations; suspending future collaboration opportunities; terminating the Creator's participation in the program; suspending related affiliate participation where permitted under the applicable affiliate terms; and/or requesting the return of products where appropriate and legally permitted. Reshelle will consider the circumstances of each case before taking action.
13. COMMUNICATION AND RESPONSIVENESS During an active collaboration, the Creator agrees to remain reasonably responsive to collaboration-related communications from Reshelle. This may include communication regarding: product selection; delivery; content requirements; deadlines; affiliate information; campaign instructions; and other matters relating to the collaboration. Repeated failure to respond to reasonable collaboration-related communications may be treated as failure to participate in the collaboration.
14. SOCIAL-MEDIA ACCOUNT The Creator must provide Reshelle with the correct social-media profile information requested during the application or collaboration process. The Creator must maintain control over the social-media account used for the collaboration. If the Creator's account becomes unavailable, restricted, suspended or otherwise unable to publish the agreed content, the Creator should inform Reshelle promptly.
15. REQUIRED DISCLOSURES The Creator is responsible for making all disclosures required by applicable law and the relevant social-media platform when publishing collaboration, gifted, barter or affiliate content. Where applicable, the Creator should clearly disclose the commercial relationship with Reshelle. The Creator must comply with applicable influencer-marketing, advertising and consumer-protection requirements.
16. CONTENT USAGE BY RESHELLE The Creator retains ownership of the original content created by the Creator, unless otherwise agreed in writing. By participating in a Reshelle Jewels Creator Collaboration, the Creator acknowledges that Reshelle may have certain rights to use, repost or otherwise utilize the collaboration content, depending on the specific content-usage rights agreed for that collaboration. Any additional or expanded rights granted to Reshelle — including, but not limited to, use in paid advertising, editing or adapting the content, use across Reshelle's website and marketing channels, extended or perpetual usage, or authorization for advertising through the Creator's social-media account — will be applicable only where expressly agreed in the individual Collaboration Offer or in a separate written agreement. Where the Creator grants any content-usage rights to Reshelle, the Creator confirms that: the Creator owns or has obtained all necessary rights and permissions relating to the content; the content does not knowingly infringe any third-party rights; and the Creator has the authority to grant the agreed rights to Reshelle.
17. RESHELLE BRAND ASSETS Reshelle may provide logos, product images, brand materials, campaign information or other assets to the Creator. Such materials remain the property of Reshelle or the applicable rights holder. The Creator may use these materials only for the purpose of carrying out the agreed collaboration. The Creator must not: modify Reshelle trademarks in a misleading manner; create an account that falsely represents an official relationship with Reshelle; represent themselves as an employee of Reshelle; or use Reshelle intellectual property for unrelated commercial purposes without Reshelle's prior permission.
18. NO FALSE OR MISLEADING REPRESENTATIONS The Creator must not make false or misleading statements regarding: Reshelle; Reshelle products; pricing; discounts; product features; product performance; offers; or the Creator's relationship with Reshelle. The Creator must use only information provided or approved by Reshelle where factual product claims are involved.
19. PROHIBITED CONDUCT A Creator participating in the program must not knowingly engage in conduct intended to: deceive consumers; damage Reshelle through false claims; impersonate Reshelle; misuse Reshelle's brand; generate fraudulent transactions; manipulate campaign results; or violate applicable law or platform policies.
20. NO EMPLOYMENT OR AGENCY RELATIONSHIP Participation in the Reshelle Creator Program does not create an employment, agency, partnership, joint venture, franchise or other formal business relationship between Reshelle and the Creator unless separately agreed in writing. The Creator acts independently and has no authority to make commitments or representations on behalf of Reshelle.
21. NO GUARANTEE OF RESULTS Reshelle does not guarantee any specific: number of views; reach; engagement; followers; clicks; sales; affiliate commissions; audience response; future collaboration; or financial result. Likewise, the Creator does not guarantee any specific sales or audience result unless a separate written agreement expressly provides otherwise.
22. FUTURE COLLABORATIONS Completion of a collaboration does not create an entitlement to future collaborations. Reshelle may evaluate future opportunities based on factors including: content quality; reliability; compliance with previous collaboration requirements; audience relevance; engagement; campaign performance; affiliate performance where applicable; professionalism; and Reshelle's future campaign requirements.
23. CONFIDENTIAL INFORMATION The Creator may receive confidential or non-public information from Reshelle. The Creator agrees not to disclose confidential information relating to Reshelle's: unpublished products; campaigns; internal processes; commercial arrangements; marketing plans; customer information; business information; or other information reasonably understood to be confidential. This obligation does not apply to information that is already publicly available or that the Creator is legally required to disclose.
24. PERSONAL INFORMATION Reshelle may collect and process information provided by the Creator for purposes including: reviewing applications; managing collaborations; communicating with the Creator; arranging product delivery; managing affiliate relationships; processing applicable payments; administering campaigns; and complying with legal obligations. Personal information will be handled in accordance with Reshelle's applicable Privacy Policy.
25. TAXES AND LEGAL RESPONSIBILITIES The Creator is responsible for complying with applicable laws and regulations relating to their participation in the program, including any applicable tax obligations. Where Reshelle is legally required to deduct or withhold any amount, Reshelle may do so in accordance with applicable law.
26. SUSPENSION OR TERMINATION Reshelle may suspend or terminate a Creator's participation in the program where reasonably necessary, including in cases involving: material breach of these Creator Terms; failure to fulfil agreed collaboration obligations; fraudulent activity; misuse of Reshelle products or brand assets; violation of applicable law; violation of social-media platform policies; infringement of third-party rights; or conduct that creates significant legal or reputational risk for Reshelle. Termination does not remove obligations that arose before termination.
27. RETURN OF PRODUCTS Where products were provided specifically for a collaboration and the Creator materially fails to fulfil the agreed obligations, Reshelle may request the return of those products where reasonably appropriate and legally permitted. Any such request will be considered based on the circumstances of the collaboration. If a return is requested, the Creator agrees to reasonably cooperate with Reshelle regarding the return process. 
28. EVENTS BEYOND REASONABLE CONTROL Reshelle will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including: natural disasters; government actions; transportation disruptions; courier delays; internet or technical failures; social-media platform outages or changes; strikes; or other unforeseen circumstances. 
29. CHANGES TO THE CREATOR TERMS Reshelle may update these Creator Terms from time to time. The updated version will be published on the Reshelle website with the revised “Last Updated” date. Changes will generally apply to future collaborations. A collaboration already accepted by a Creator will continue to be governed by the version applicable to that collaboration, unless otherwise required by law or agreed between the parties. 
30. ACCEPTANCE Before proceeding with a collaboration, the Creator may be required to expressly confirm acceptance of these Creator Terms. By confirming participation after being provided access to these Creator Terms, the Creator acknowledges that they: have read the Creator Terms; understand the Creator Terms; agree to comply with them; and agree to the specific Collaboration Offer provided by Reshelle. 
31. ENTIRE AGREEMENT These Creator Terms, together with the applicable individual Collaboration Offer and any other written terms expressly incorporated into that offer, constitute the agreement governing the applicable Creator Collaboration. If there is a conflict between these Creator Terms and a specific Collaboration Offer, the specific Collaboration Offer will prevail only with respect to the terms expressly addressed in that offer.
32. GOVERNING LAW AND JURISDICTION These Creator Terms shall be governed by and interpreted in accordance with the laws of India. Subject to applicable law, disputes arising in connection with these Creator Terms or a Creator Collaboration shall be subject to the jurisdiction of the competent courts in Chennai, Tamil Nadu, India.
